Job Description Company Secretaries play a pivotal role in ensuring that the company operates within the legal and regulatory framework. This includes: Advising the board of directors on their legal and regulatory responsibilities. Organizing and attending board meetings, general meetings, and committee meetings, ensuring that minutes are accurately recorded and maintained. Implementing corporate governance policies and procedures to enhance transparency and accountability. Ensuring compliance with various laws, regulations, and standards relevant to the company's operations, including: Filing statutory returns and documents with regulatory authorities, such as annual reports, financial statements, and other legal documents. Keeping abreast of changes in legislation and advising the board and management on compliance requirements. Maintaining registers required by law, such as the register of members, directors, and debenture holders. Overseeing administrative functions to ensure smooth operations, including: Managing the company's records, including share registers, minutes of meetings, and other corporate documents. Handling correspondence and communication with shareholders, regulatory bodies, and other stakeholders. Managing the process of issuing and transferring shares, including maintaining share certificates and handling share transactions.
